Welcome to Supreme Wellness Equipment, a trade name operated by Clinicly Inc. ("Company", "we", "us", or "our"). These Terms and Conditions ("Terms") govern your access to and use of our website, products, and services.

By accessing this website, browsing products, or completing a purchase, you agree to be legally bound by these Terms. If you do not agree, you must not use this website or purchase our products.

1. Legal Entity and Scope

Supreme Wellness Equipment is a trade name of Clinicly Inc., a Wyoming corporation. All sales, transactions, and contractual obligations are entered into with Clinicly Inc.

These Terms apply to all visitors, customers, and users of the website, including without limitation browsers, purchasers, and account holders.

2. Products and Forward Sale Disclosure

All products sold by Clinicly Inc. are custom-manufactured, made-to-order wellness equipment.

Production begins only after full payment has been received.

  • Estimated delivery timeframe: 30–60 business days

  • Delivery timelines are estimates only and are not guaranteed

  • Time is not of the essence in delivery

By placing an order, you expressly acknowledge that:

  • Your purchase constitutes a forward-sale transaction

  • Manufacturing begins after payment confirmation

  • Delivery may be delayed due to production schedules, freight availability, customs clearance, port congestion, or carrier delays

3. Pricing, Payments, and Taxes

All prices are listed in the applicable currency at checkout. Prices may change without notice.

You authorize Clinicly Inc. to charge the full purchase amount, including applicable taxes, shipping, and fees, at the time of checkout.

You are solely responsible for:

  • Sales, use, VAT, GST, customs duties, or import taxes

  • Any fees imposed by your payment provider or financial institution

4. Electrical Compliance and Use Disclaimer

⚠️ Important Notice

Our equipment is CE-certified and operates on standard 110V power (plug-and-play).

The equipment does not carry UL, ETL, or CSA certification.

It is the buyer’s sole responsibility to determine whether the equipment is permitted for use in their jurisdiction, building, or commercial setting.

By purchasing, you:

  • Accept full responsibility for electrical and regulatory compliance

  • Waive any claims related to certification requirements

  • Acknowledge that compliance standards vary by jurisdiction

5. Returns, Refunds, and Cancellations

ALL SALES ARE FINAL

Due to the made-to-order and forward-sale nature of our products:

  • No refunds, cancellations, or returns are permitted once payment has been processed

  • Payments are final and non-reversible

Delivery timelines, delays, or non-delivery caused by third parties are not grounds for cancellation, chargeback, or refund.

Unauthorized return shipments will be rejected and do not constitute a reversal of sale.

6. Damage, Defects, and Limited Remedy

Repair or replacement may be offered solely in cases of verified manufacturing defect or transit damage.

To be eligible:

  • Notice must be provided within 48 hours of delivery

  • Clear photo and video documentation must be submitted

  • Claims must be reviewed and approved by Clinicly Inc.

If approved, Clinicly Inc. may, at its sole discretion:

  • Repair the affected component

  • Replace the affected component or unit

No refunds, credits, or payment reversals will be issued in place of repair or replacement.

7. Warranty

Products include a 4-Year Limited Manufacturer Warranty, covering factory defects and operational failure under normal use.

The warranty does not cover:

  • Misuse, abuse, or neglect

  • Improper installation

  • Electrical incompatibility

  • Unauthorized modification or repair

Warranty claims are administered by Clinicly Inc. in coordination with the manufacturer.

8. Shipping, Delivery, and Risk of Loss

All shipments are handled by third-party freight and logistics providers.

  • Deliveries are curbside only, unless otherwise stated

  • Buyer must ensure delivery access and availability

Risk of loss transfers to the buyer upon shipment, regardless of delivery delays, carrier handling, or customs processing.

Shipping, freight, storage, and redelivery fees are non-refundable.

9. Limitation of Liability

To the maximum extent permitted by law, Clinicly Inc. shall not be liable for:

  • Personal injury or property damage

  • Business interruption or lost profits

  • Regulatory enforcement or compliance penalties

  • Installation or electrical non-compliance

  • Shipping delays or customs actions

  • Acts of carriers, customs authorities, or force majeure events

You expressly release Clinicly Inc. from all liability arising from installation, use, compliance, misuse, or third-party actions.

10. Indemnification

You agree to indemnify and hold harmless Clinicly Inc., its officers, directors, employees, and affiliates from any claims, damages, liabilities, or expenses arising from:

  • Your use or misuse of the products

  • Violation of these Terms

  • Failure to comply with applicable laws or regulations

11. Website Use and Intellectual Property

All website content, including text, images, logos, trademarks, and designs, is the property of Clinicly Inc. or its licensors.

You may not reproduce, distribute, modify, or exploit any content without prior written consent.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles.

All disputes shall be resolved exclusively in state or federal courts located in Wyoming.

13. Severability and Entire Agreement

If any provision of these Terms is held unenforceable, the remaining provisions shall remain in full force and effect.

These Terms constitute the entire agreement between you and Clinicly Inc. regarding use of the website and purchase of products.
